New Laws Loom for Non-profit Corporations

New legal requirements for Ontario and federally incorporated non-profit corporations are looming. 

The Ontario Not-for-profit Corporations Act (ONCA) is slated to be proclaimed on July 1, 2013. As of this date, ONCA’s onerous provisions will apply automatically to all Ontario-incorporated non-profits. Articles of incorporation and bylaws will generally need to be revised to bring them into conformity with the ONCA.    

The similarly onerous Canada Not-for-profit Corporations Act (CNCA) came into force in October 2011.  All federally incorporated non-profits are required to file Articles of Continuance and revised bylaws with Industry Canada by October 2014 or risk losing their status as a corporation.
